TERMS OF SERVICE

MEDICAL EMERGENCY NOTICE

If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Li Health is not an emergency service and cannot be used in place of emergency care. Do not use this platform if you require immediate medical attention.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING LI HEALTH. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.


1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) govern your access to and use of the services provided by Li Health LLC, a virtual telehealth practice operated by Lilit Margaryan, MD (“Li Health,” “we,” “us,” or “our”). This includes our website at lihealthclinic.com, our patient portal, and all telehealth services provided through these platforms (collectively, the “Services”).

By accessing our website, creating an account, booking an appointment, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use our Services.

We reserve the right to modify these Terms at any time. Material changes will be communicated to you by posting an updated version on our website with a revised effective date. Your continued use of our Services following any changes constitutes your acceptance of the updated Terms.


2. ELIGIBILITY

To use Li Health’s Services, you must:

  • Be at least 18 years of age
  • Be located in a state where Li Health is licensed to provide telehealth services at the time of your visit: Maryland, Virginia, Washington DC, Georgia, California, or Pennsylvania
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete information when registering and using our Services

If you are a parent or legal guardian seeking care on behalf of a minor, you must be present during the visit and take full responsibility for the accuracy of information provided and the minor’s compliance with these Terms. Li Health reserves the right to verify eligibility and to decline or discontinue services to any individual who does not meet these requirements.


3. NATURE OF SERVICES

3.1 Telehealth Services

Li Health provides virtual telehealth services focused on weight loss medicine, GLP-1 medication management, and urgent care. All clinical services are delivered by licensed physicians via secure video or asynchronous communication, as appropriate for the clinical situation.

Li Health does not provide:

  • Emergency medical care
  • Ongoing management of chronic conditions such as hypertension, diabetes, thyroid disease, or cardiovascular disease
  • Prescriptions for controlled substances
  • In-person care
  • Mental health therapy or psychiatric medication management

Li Health may, in limited circumstances, provide a short-term bridge prescription refill for a chronic condition medication when a patient is temporarily without access to their regular physician and when doing so is clinically appropriate and legally permissible.

3.2 Clinical Independence

All clinical decisions, diagnoses, treatment recommendations, and prescriptions are made solely by the licensed physician providing your care. Li Health does not interfere with the independent professional judgment of its clinicians. The physician-patient relationship is established upon the commencement of your first clinical encounter with a Li Health physician.

3.3 No Guarantee of Specific Treatment or Prescription

Booking an appointment or requesting a specific medication does not guarantee that you will receive a prescription or any particular course of treatment. All prescribing decisions are made based on clinical evaluation, applicable medical standards, and the individual physician’s professional judgment. GLP-1 medications and other prescription medications will only be prescribed when clinically indicated and legally permissible.

3.4 Scope Limitations

Li Health is a focused specialty telehealth practice. We are not a primary care clinic and are not able to serve as your primary care physician. We encourage all patients to maintain a relationship with a primary care provider for comprehensive and ongoing health management.


4. CONSENT TO TELEHEALTH

By scheduling and attending a telehealth visit with Li Health, you acknowledge and consent to the following:

  1. You agree to receive medical evaluation, consultation, diagnosis, and treatment via remote electronic communications, which may include video, audio, or asynchronous messaging technology.
  2. You understand that telehealth visits have inherent limitations. The physician may not have the benefit of a physical examination and may not be able to assess all aspects of your condition remotely. This may affect the accuracy of diagnosis or the appropriateness of recommended treatment.
  3. You understand that technical failures, interruptions, or security issues may occur and may affect the quality or continuity of your visit.
  4. You understand that the physician will only be able to provide care to you if you are physically located in a state in which Li Health is licensed at the time of your visit.
  5. You agree to accurately disclose your physical location at the start of each visit.
  6. You understand that visits may be documented and that your clinical records will be maintained in accordance with applicable law and our Privacy Policy.
  7. You retain the right to withdraw your consent to telehealth at any time. Doing so will not affect your right to seek care elsewhere.

5. ACCOUNT REGISTRATION AND SECURITY

To access clinical services, you must create a patient account. When registering, you agree to:

  • Provide accurate, complete, and current information about yourself
  • Maintain the accuracy of your account information and update it promptly if it changes
  • Keep your login credentials confidential and not share them with anyone
  • Notify us immediately at info@lihealthclinic.com if you believe your account has been compromised
  • Accept responsibility for all activity that occurs under your account

Li Health reserves the right to suspend or terminate accounts that contain inaccurate information, are used fraudulently, or are otherwise in violation of these Terms.


6. FEES AND PAYMENT

6.1 Cash-Pay Practice

Li Health is a cash-pay practice. We do not bill insurance companies for appointment fees. Payment is due at the time of booking. By providing your payment information, you authorize Li Health to charge the applicable fee for each visit or membership.

6.2 Current Fee Schedule

Our current fees are:

  • Initial weight loss consultation: $200
  • Weight loss follow-up visit: $150 per visit
  • Weight loss membership: $149 per month (includes one visit per month and messaging access)
  • Urgent care visit: $130 per visit
  • Urgent care membership: $99 per month (unlimited urgent care visits)
  • All-inclusive membership: $199 per month (includes weight loss management and unlimited urgent care)

Li Health reserves the right to modify its fee schedule at any time. Changes to fees will be communicated in advance and will not affect visits already scheduled at the prior rate.

6.3 Insurance

Appointment fees are not covered by health insurance. Depending on your plan, laboratory services and prescription medications ordered through Li Health may be eligible for insurance reimbursement. Appointment fees may be reimbursable through a Health Savings Account (HSA) or Flexible Spending Account (FSA). We recommend confirming eligibility with your insurer or plan administrator.

6.4 Membership Cancellation

Monthly memberships may be cancelled at any time with written notice to info@lihealthclinic.com. Cancellations take effect at the end of the current billing cycle. No partial refunds are issued for unused days in a billing period. Memberships are non-transferable.

6.5 Cancellation and No-Show Policy

Appointments cancelled with less than 24 hours notice may be subject to a cancellation fee. Patients who fail to attend a scheduled appointment without advance notice may forfeit the visit fee. Li Health reserves the right to apply these policies at its discretion.


7. PRESCRIPTIONS AND MEDICATIONS

Prescriptions issued by Li Health physicians are based on clinical evaluation and professional judgment. By using our Services, you acknowledge the following:

  • Prescriptions are not guaranteed and are issued only when clinically appropriate and legally permissible in your state.
  • Li Health does not prescribe controlled substances under any circumstances.
  • GLP-1 medications and other prescription medications carry risks and side effects that will be discussed with you during your visit. You are responsible for reading all medication information provided by your pharmacist.
  • Prescriptions issued by Li Health physicians are sent electronically to a pharmacy of your choice. Li Health does not supply medications directly.
  • Medication costs, including GLP-1 medications, are separate from Li Health’s appointment fees and are the patient’s responsibility. Coverage varies by insurance plan.
  • Li Health physicians may prescribe oral GLP-1 medications including oral semaglutide and orforglipron (Foundayo) when clinically appropriate.
  • You agree to inform your Li Health physician of all medications, supplements, and health conditions at the time of your visit to ensure safe prescribing.

8. PATIENT RESPONSIBILITIES

To receive safe and effective care, you agree to:

  • Provide accurate, complete, and truthful health information during all visits and when completing intake forms
  • Disclose all current medications, supplements, allergies, and relevant medical history
  • Disclose your accurate physical location at the start of each visit
  • Follow up with your primary care physician or a specialist for conditions outside Li Health’s scope of practice
  • Seek emergency care immediately if your condition worsens or you experience symptoms requiring urgent in-person evaluation
  • Not misrepresent your identity or impersonate another individual
  • Not use Li Health’s Services for any unlawful purpose

Li Health physicians rely on the accuracy of information you provide. Providing false or incomplete information may result in harm to your health and may result in termination of your care relationship with Li Health.


9. PRIVACY AND HEALTH INFORMATION

Your health information is protected by the Health Insurance Portability and Accountability Act (HIPAA) and applicable state privacy laws. The collection, use, and disclosure of your Protected Health Information is governed by our Notice of Privacy Practices, available at lihealthclinic.com, which is incorporated into these Terms by reference.

By using our Services, you consent to Li Health using and disclosing your health information as described in our Notice of Privacy Practices for purposes of treatment, payment, and health care operations, and as otherwise required or permitted by law.


10. COMMUNICATIONS AND MESSAGING

By providing your email address or phone number, you consent to receive communications from Li Health related to your care, including appointment confirmations, clinical follow-up messages, and administrative notices.

Secure messaging through our patient portal is available to active members and is intended for non-urgent clinical questions only. Messages sent through the portal are reviewed during business hours. Do not use portal messaging for urgent or emergency matters. If you have an urgent health concern, call 911 or seek in-person care immediately.

You may opt out of non-clinical marketing communications at any time by contacting us at info@lihealthclinic.com. Opting out of marketing communications does not affect your receipt of clinically necessary messages.


11. INTELLECTUAL PROPERTY

All content on lihealthclinic.com and within our patient portal, including text, graphics, logos, images, and software, is the property of Li Health LLC or its content providers and is protected by applicable copyright, trademark, and other intellectual property laws.

You may access and use our website content for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our Services without our prior written permission.


12. DISCLAIMERS

Li Health’s Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Li Health disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Li Health does not warrant that:

  • Our Services will be uninterrupted, error-free, or free from technical issues
  • Any specific health outcome will result from using our Services
  • Information provided through our Services is complete, accurate, or current for your specific medical situation

The clinical information provided through Li Health is intended to support, not replace, the professional medical judgment of a licensed physician. All clinical decisions are made by the treating physician based on your individual circumstances.


13. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Li Health LLC, its officers, directors, employees, agents, and physicians shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be excluded by law, including liability for gross negligence, willful misconduct, or personal injury caused by negligence.

Our total liability to you for any claim arising from or related to our Services shall not exceed the total amount you paid to Li Health in the three months preceding the event giving rise to the claim.


14. TERMINATION

Li Health reserves the right to suspend or terminate your access to our Services at any time and for any reason, including but not limited to:

  • Violation of these Terms
  • Provision of false or misleading information
  • Conduct that is abusive, threatening, or disrespectful toward our staff or physicians
  • Non-payment of fees
  • Clinical determination that our scope of services is not appropriate for your needs

You may discontinue use of our Services at any time. Outstanding fees for services already rendered remain due upon termination.

Upon termination, you retain the right to access your medical records as required by applicable law. Please contact info@lihealthclinic.com to request your records.


15. GOVERNING LAW

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our Services that are not resolved through informal negotiation will be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.


16. MISCELLANEOUS

Entire Agreement: These Terms, together with our Privacy Policy and Notice of Privacy Practices, constitute the entire agreement between you and Li Health with respect to your use of our Services.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full effect.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Li Health may assign its rights and obligations without restriction.

Force Majeure: Li Health is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, government actions, pandemics, or technical infrastructure failures.
